Hereinafter "The Provider",
undertake to respect strictly in all my relations with MUSEO3D, Association Loi de 1901 declared to the Prefecture of Bordeaux, France, on 22 March 2017 under SIRET number 828 582 817 00015, whose head office is located 37 cours de la somme 33800 in BORDEAUX, represented by Henry ELOPHE as president of the association duly authorised for the purposes of the present, Hereinafter "The Client",
the following non-disclosure agreement (“the Agreement”):
1- The Provider formally undertakes to observe the strictest confidentiality with respect to all documents, elements and information of any nature whatsoever, in particular financial, technical or commercial documents, projects, notes, models or recordings, deliverables - without this list being exhaustive - relating to the resources, activities and services of the Client and the Client's clients or partners to which the Provider will have access on the occasion of or in the course of his relations with the Client.
2- The Provider undertakes never to disclose to any person whatsoever, for any reason whatsoever, without the Client's prior express written authorisation, any of the aforementioned elements and/or any of the aforementioned information, both during the performance of this Agreement and after its termination.
3- The Provider undertakes to use all necessary means to prevent any disclosure of the aforementioned information and elements. In particular, the Provider shall use the computer messaging system and secure transfer links indicated by the Client for the transmission of any correspondence with the Client.
4- The Provider undertakes to return to the Client, as soon as it is requested to do so, and at the latest spontaneously on the day of termination of the Agreement, for whatever reason, any material or object that may have been made available to the Provider by the Client, as well as any written or recorded document containing confidential information as defined above, and not to retain any copy or recording of such information on any medium whatsoever.
5- The Provider declares that it is fully and personally liable, even with respect to its employees and therefore releases the Client from any liability with respect to any third party in the event that the Provider discloses information, documents or the aforementioned items, itself or any other person directly or indirectly related to the Provider, which is in any way prejudicial to the Client, and shall bear any costs that the Client may incur directly or indirectly as a result of such disclosure, and acknowledges that any prejudice of any nature whatsoever suffered by the Client may be the subject of legal action for financial compensation. To this end, the Parties declare that the applicable law is French law, and that any dispute will fall under the jurisdiction of the French courts.
6- The Provider shall remain bound by this obligation for as long as the data concerned has not become public, unless the Client gives its prior written consent to the lifting of confidentiality, and, whether or not the data concerned has become public, for an incompressible period of 2 years.
